Nicole Finelli advises both financial institutions and borrowers with respect to complex lending transactions and related issues. Ms. Finelli's practice also includes assisting clients with respect to general business matters from initial organization through dissolution. Ms. Finelli's qualifications include ten years of finance experience spanning back to her prior career as a senior economic and financial consultant at Arthur Andersen LLP and KPMG LLP.

Representative Experience

  • Assist financial institutions in drafting and negotiating commitment letters, initial loan documentation and subsequent extensions and/or modifications
  • Assist lenders in obtaining security interests in various collateral including real estate, interests in leasehold estates, general business assets, government receivables, health care receivables, inventory, patents, trademarks, and other deal-specific assets 
  • Assist in distressed loan negotiations between lending institutions and borrowers, including the drafting and negotiation of notice of default letters, forbearance agreements and modification agreements
  • Help borrowing entities secure financing and negotiate loan documentation with local and out-of market financial institutions
  • Review leases and negotiate Subordination, Non-Disturbance and Attornment Agreements with national tenants
  • Assist in the drafting and negotiation of Tri-Party Agreements, Intercreditor Agreements, and Subordination Agreements
