Corben Lee regularly advises clients on a variety of securities regulatory matters, mergers and acquisitions, public and private securities offerings, ESOP implementation, and general corporate counseling. He advises buyers and sellers on all aspects of mergers and acquisitions, including due diligence review and management, negotiation, deal structuring, and documentation of the deal, from the letter of intent through closing. He takes a personalized approach to address each client's needs and priorities, ensuring they receive tailored solutions that align with their goals.

  • Advised private companies on the preparation and filing of Hart-Scott-Rondino filings
  • Advised emerging growth companies in organizing and conducting unregistered securities offerings
  • Advised clients on the organization of a new business including ownership structure, drafting organizational documents for corporations, limited liability companies, and other entity types, and drafting minutes and resolutions
  • Negotiated and provided counsel to emerging growth companies in convertible note and preferred stock investments
  • Advised and assisted companies in both the acquisition and sale of a business
  • Advised and assisted emerging growth companies regarding issuing equity incentives and corresponding plans including restricted stock, nonqualified stock options, incentive stock options, and counsel on 83(b) elections
