Roger Carlson is a Partner in the firm's Business Practice. His practice focuses on delivering legal solutions to clients in the areas of commercial real estate, buying and selling businesses, contract negotiations, corporate finance, and general representation of various business entities and their principals. Mr. Carlson also has extensive experience in, representing lenders on new loans and restructuring distressed and non-performing loans.  Mr. Carlson also advises on the real estate, development and financing aspects of energy projects, including wind and solar projects.

Mr. Carlson is active in his community, serving on the board of several not-for-profit organizations and company advisory boards. In addition to serving as an attorney, Mr. Carlson is a Certified Public Accountant.

  • Counsel to family-owned business in restructuring by moving ownership to employee trust 
  • Borrower’s counsel to industrial revenue bond refinancing and restructuring
  • Counsel to owners in financial restructuring of large retail and apartment complex in Kansas City
  • Represented contractors in construction disputes and lien priority issues
  • Counsel to developer of retail shopping center through lease-up
  • Counsel to steel company for related party real estate acquisitions
  • Counsel to various lenders in real estate, commercial and industrial lending, work outs and restructurings
  • Represented family members generational buy out of plastics business
  • Represented digital software marketing company in bolt-on acquisitions outside Illinois
  • Counsel to numerous organizations in mergers, acquisitions and joint ventures
  • Advised small business owners in connection with internal shareholder disputes and separations
  • Served as local counsel for Canadian company acquiring business and real estate in Illinois
  • Counsel to purchasers and sellers of restaurants, including negotiation and documentation of lease and asset acquisition
  • Advised clients in litigation regarding fiduciary obligations among owners and management
  • Represented oncology group in its participation of cancer center start up
  • Counsel to startup various food and consumer products companies
  • Organized special subsidiary travel software company
  • Organized start up, registration and funding of specialty farm-finance company
